1. Who you are contracting with
These terms are between you (the client) and Bhanupratap Singh, a sole proprietor registered in India, trading as vedbhanu, at 313/6, Biaora, Near JNV Pawarkheda, Narmadapuram (Hoshangabad), Madhya Pradesh 461110, India. GSTIN 23DXXPR8546B1ZW. Referred to below as "I", "me" or "vedbhanu".
By booking a call, accepting a written scope, or paying an invoice, you agree to these terms.
2. What I provide
Consulting, design, build and support services for business automation and operations systems. This typically includes workflow design, building automations on tools such as Make.com, n8n, Airtable, Zapier and the Claude API, documentation, training and ongoing maintenance.
Everything is a service. No physical goods are sold or shipped. Deliverables are digital and delivered remotely.
3. Scope and quotes
- Every engagement is defined in a written scope: what is being built, what it will do, the timeline and the fee.
- The written scope takes priority over anything said on a call, in a chat, or on this website, including these terms where they conflict on scope, fees or timeline.
- Work outside the agreed scope is quoted separately and only starts once you agree to it in writing. I do not add charges you have not approved.
4. Fees and payment
- Fees are stated in the written scope. Indicative ranges are published on the pricing page.
- Clients outside India are invoiced in US dollars. Clients in India are invoiced in Indian rupees plus GST at the applicable rate. Services supplied to clients outside India are treated as an export of services and are zero rated under a Letter of Undertaking.
- Card payments are processed by Stripe. I do not see or store your card details.
- Invoices are due within 7 days of issue unless the scope says otherwise.
- Retainers are billed monthly in advance.
- Some engagements are billed only once an agreed result has been produced. Where that applies it is stated in your written scope.
- Tool subscriptions are yours. Every system runs on your own accounts and your own card. I do not pay for, resell or mark up third party software.
5. Cancellation
You may cancel any engagement in writing at any time.
- Cancel before work starts and nothing is owed. Any deposit is refunded in full.
- Cancel after work starts and you are charged only for work completed to that date. You keep everything built and documented up to that point.
- Retainers are month to month with 30 days written notice. No minimum term, no cancellation fee.
- I may end an engagement in writing if the work falls outside what I can deliver well, if the access needed to do the work is not provided, or if invoices go unpaid. In the first two cases, unearned fees are refunded in full.
The full detail is in the cancellation and refund policy, which forms part of these terms.
6. Refunds
- Deposits are refunded in full where you cancel before work has started, or within 7 days of payment where no work has been done.
- Work already delivered is not refundable, because it is custom work built on your own accounts and cannot be resold or recovered.
- If a delivered system does not do what the written scope said it would, I fix it at no charge. If it cannot be made to do what was agreed, that portion of the fee is refunded in full.
- Retainer months already started are not refundable. Cancel with notice and the next month is not billed.
- Approved refunds are issued to the original payment method within 5 to 10 working days.
The full detail, including how to request a refund and the response times you can expect, is in the cancellation and refund policy.
7. What I need from you
- Access to the accounts and tools the system will run on, and someone who can answer questions about how the business actually works.
- Feedback within a reasonable time. Timelines assume you can respond within a few working days.
- Accurate information. I build against what you tell me.
- Your own compliance with the terms of any third party tools used, and with the laws that apply to your business, including how you contact your own customers.
Where delays are caused by access or feedback not arriving, timelines move by the same amount. That is not a cancellation and no fees change.
8. Ownership and handover
- You own what I build for you. On full payment, all custom workflows, scenarios, bases, prompts and documentation created for your engagement are yours.
- Systems are built on your accounts from the start, so nothing is hosted behind me and nothing stops working if we stop working together.
- I keep ownership of my own general methods, templates and reusable components, and may use them for other clients. Nothing specific to your business is reused.
- Handover includes written documentation and a walkthrough recording, so you or anyone on your team can change the system later without me.
9. Confidentiality
Anything you share about your business, customers, revenue or systems is treated as confidential and is not shared with anyone else. This continues after the engagement ends. I will not name you publicly or use your logo, screenshots or results in a case study without your written permission first.
10. Third party tools
Systems I build depend on third party platforms such as Make.com, n8n, Airtable, Zapier, Skool, Circle, Stripe, Anthropic and similar. Those platforms set their own terms, pricing, uptime and API behaviour, and can change them. I am not responsible for a third party changing or withdrawing its service, but I will tell you when it affects you and quote any work needed to adapt.
11. What I do and do not promise
- I deliver the services with reasonable skill and care, and to the scope agreed in writing.
- Automated systems are not guaranteed to be free of errors or interruptions, particularly where they depend on third party services.
- No specific business result, revenue figure or growth outcome is promised. Results described elsewhere on this site are what happened for those clients, not a forecast for yours.
- My total liability for any claim connected to an engagement is limited to the fees you paid me for that engagement in the 6 months before the claim.
- Neither of us is liable to the other for indirect or consequential loss, including lost profits or lost data, except where the law does not allow that limit.
- Nothing in these terms limits liability for fraud, or for anything that cannot be limited under Indian law.
12. Acceptable use
I do not build systems for spam, scraping in breach of a platform's terms, unsolicited bulk messaging that breaks the law in the recipient's country, or anything designed to mislead people. If a request turns out to be one of these, I will say so and decline it.
13. Changes to these terms
These terms may be updated. The version in force for your engagement is the one published on the date your written scope was agreed. Changes are never applied backwards to work already agreed or paid for. The "last updated" date at the top of this page shows the current version.
14. Governing law
These terms are governed by the laws of India. The courts at Narmadapuram, Madhya Pradesh have jurisdiction, and both sides agree to try to resolve anything by discussion first.
